Alon Blue Square Israel Ltd. (NYSE: BSI) (hereinafter: the "Company") announced today that the New York Stock Exchange (NYSE) notified the Company on September 4, 2015 that it is no longer in compliance with NYSE Continued Listing Standards because the price of its ordinary shares has fallen below the NYSE's share price rule. The NYSE requires the average closing price of a listed company's ordinary shares to be at least $1.00 per share over a consecutive 30 trading-day period.
Under the NYSE listing rules, the Company has six months from the receipt of the notice to regain compliance with the minimum share price rule. A company can regain compliance at any time during the six-month cure period if on the last trading day of any calendar month during the cure period the company has a closing share price of at least $1.00 and an average closing share price of at least $1.00 over the 30 trading-day period ending on the last trading day of that month or the last day of the cure period. During the cure period, the Company's ordinary shares continue to be listed on the NYSE and trade as usual subject to compliance with other NYSE listing requirements.
The Company will respond to the NYSE of its intention to rectify this non-compliance. The NYSE notification does not affect the Company's SEC reporting obligations or the listing of the Company's ordinary shares on The Tel Aviv Stock Exchange.
