PDC Energy, Inc. (“PDC” or the “Company”) (PDCE) today announced that it has agreed to sell 3,750,000 shares of its common stock in an underwritten public offering. The Company has granted the underwriter an option for 30 days to purchase up to an additional 562,500 shares of the Company’s common stock to cover over-allotments, if any.

BofA Merrill Lynch is acting as the sole underwriter of the offering.

The offering is being made pursuant to an effective shelf registration statement.
