Item 8.01Other Events.

 

On May 17, 2021, Antero Resources Corporation (the “Company”) issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference, announcing that the Company intends to commence a private offering of $500 million aggregate principal amount of senior notes due 2030 (the “Notes”). The Company intends to use the net proceeds from the offering and borrowings under its credit facility to fund the previously announced redemption of all of its 5.625% senior notes due 2023 (the “2023 Notes”) outstanding on June 1, 2021 at a redemption price of par plus accrued and unpaid interest. As of May 14, 2021, there was $574.2 million aggregate principal amount of 2023 Notes outstanding. The foregoing does not constitute a notice of redemption with respect to any of the 2023 Notes.

Antero Resources Announces Launch of $500 Million Offering of Senior Notes

 

Denver, Colorado, May 17, 2021—Antero Resources Corporation (NYSE: AR) (“Antero Resources”) announced today that, subject to market conditions, it intends to offer $500 million in aggregate principal amount of senior unsecured notes due 2030 (the “Notes”) in a private placement to eligible purchasers.

 

Antero Resources intends to use the net proceeds from the offering and borrowings under its revolving credit facility to fund the previously announced redemption of its 5.625% senior notes due 2023 (the “2023 Notes”) outstanding on June 1, 2021 at par plus accrued interest. The offering of the Notes is not contingent upon the completion of such redemption.

 

The Notes to be offered have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), or any state securities laws, and unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws. The Notes will be offered only to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States pursuant to Regulation S under the Securities Act.
