Gentlemen - It is the end of December and to date the only communication that has taken place subsequent to my amended 13D filing, is a perfunctory one paragraph note from Mr. Clayton.

Currently, I have no reason to believe that the Board will take the necessary steps to evaluate that which can be done to enhance shareholder value.

As a result, it is my intention to contact investment bankers to make a selection as to who I will retain to assist me in pursuing strategic alternatives for ICPW. In addition, I plan to discuss with other shareholders their thoughts as to alternative actions that can be taken which can increase the value of our equity.
