Petroteq Energy Announces Proposed Issuances of Securities

Petroteq Energy Inc. (the “Company”) (TSXV:PQE) (OTCQX:PQEFF) (Frankfurt:PQCF) announces it has received a subscription from an arm’s length party for 107,525 common shares for gross proceeds of US$100,000. The shares will be issued upon receipt of conditional approval from the TSX Venture Exchange (the “Exchange”). All shares issued pursuant to the financing will be subject to a four-month hold period. The net proceeds will be used by the Company for general corporate purposes and working capital.

In addition, the Company announces a proposed non-brokered private placement financing pursuant to which it proposes to raise gross proceeds of up to US$125,000 through the issuance of common share units (“Units”) at a price of US$1.09 (CAD$1.40) per Unit. Each Unit is to consist of one common share of the Company and one common share purchase warrant of the Company. Each warrant shall entitle the holder thereof to acquire one common share of the Company at an exercise price of US$1.50 per share for a period of 24 months following the closing of the financing. Closing of the financing is subject to approval of the Exchange. All securities issued pursuant to the financing will be subject to a four-month hold period. The net proceeds will be used by the Company for general corporate purposes and working capital.

Further, the Company announces its intention to complete shares for debt transactions with five arm’s length service providers pursuant to which the Company proposes to issue 932,893 common shares in satisfaction of an aggregate of US$910,494 of indebtedness currently owed to such service providers. The Company determined to satisfy the indebtedness with common shares in order to preserve its cash for use on its extraction technology in Asphalt Ridge, Utah. The shares will be issued upon acceptance by the Exchange. The common shares issued in satisfaction of the indebtedness will be subject to a four-month hold period from the date of issuance.

The Company also intends on issuing unsecured convertible debentures (the “Debentures”) for an aggregate principal amount of up to US$1,650,897 to six arm’s length existing lenders of the Company. The Debentures will bear interest at a rate of 10% per annum, payable quarterly and maturing 5 years from issuance. At the option of the holders of the Debentures, principal under the Debentures will be convertible into units of the Company at a conversion price of US$1.09 (CAD$1.40) per unit. Each unit would consist of one common share of the Company and one common share purchase warrant of the Company. Each warrant would entitle the holder to acquire one common share of the Company at an exercise price of US$1.30 per common share until the earlier of 24 months from issuance and the maturity date of the Debenture. All securities issued pursuant to the financing will be subject to a four-month hold period. The issuance of the Debentures is subject to director and Exchange approval.
