Range Announces Offering of Senior Notes

FORT WORTH, TX--(Marketwired - May 7, 2015) -  RANGE RESOURCES CORPORATION (NYSE: RRC) announced today that it intends, subject to market conditions, to offer $500 million in aggregate principal amount of senior notes due 2025 in a private placement to eligible purchasers. Range intends to use the net proceeds to repay borrowings under its bank credit facility pending its intended redemption of all of its 6 3/4% senior subordinated notes due 2020, which it expects to complete in August 2015 using borrowings under its bank credit facility. 

The notes will not be registered under the Securities Act of 1933 (the "Securities Act") or the securities laws of any state and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements under the Securities Act and applicable state securities laws. The notes may be resold by the initial purchasers pursuant to Rule 144A and Regulation S under the Securities Act.
