Polaris Infrastructure Declares Initial Quarterly Dividend

TORONTO, ON--(Marketwired - March 11, 2016) - Polaris Infrastructure Inc. (TSX: PIF) ("Polaris Infrastructure" or the "Company"), a Toronto-based company engaged in the operation, acquisition and development of renewable energy projects in Latin America, is pleased to announce that its board of directors ("the Board") has declared its first quarterly dividend, of US$0.10 per common share outstanding. This dividend will be paid on May 30, 2016 to shareholders of record at the close of business on May 24, 2016.

ADDITIONAL INFORMATION REGARDING THE DIVIDEND POLICY

Polaris Infrastructure expects to pay common share dividends on a quarterly basis, in US Dollars, and the record date of May 24, 2016 for the initial dividend has been selected so as to align with expected timing of quarterly dividends going forward. Management and the Board of the Company feel that an initial payout ratio of approximately 50% of cash flow available for distribution ("CFAD") is prudent and that it reflects confidence in the stability of cash flow generation, while maintaining flexibility to enhance generation at the San Jacinto project towards 72 MW (net). The Company defines CFAD as: Adjusted EBITDA less Debt Service less contributions to the Major Maintenance Reserve Account.

The initial dividend of US$0.10 per common share represents approximately a 50% payout of estimated CFAD for the first quarter of 2016. It is important to note that such CFAD does not include any incremental generation resulting from the ongoing San Jacinto drilling program. We expect the first production well drilled, SJ 6-3, to be connected during the second quarter of 2016.

Commenting on this significant milestone for the Company, Chief Executive Officer, Marc Murnaghan, said, "We have come a long way since the recapitalization transaction that occurred in May 2015, and today's announcement of our first dividend underpins our belief in the long term cash generation of the Company and our commitment to return capital to our shareholders. Our San Jacinto drilling program continues to advance and we look forward to bringing on new production in the coming quarters. We anticipate therefore that the Company will be able to grow the dividend in two principal ways: firstly through further growing our cash flow available for distribution to shareholders while maintaining a 50% payout ratio, and secondly, to the extent growth towards 72 MW capacity has been achieved and the Board continues to build confidence in the performance of the San Jacinto project, through increasing the payout ratio. I'm proud of our team and we look forward to further positive announcements as we continue to execute our business plan."

USE OF NON-GAAP MEASURES

Certain measures in this document do not have any standardized meaning as prescribed by International Financial Reporting Standards ("IFRS") and, therefore, are not considered generally accepted accounting principles ("GAAP") measures. Where non-GAAP measures or terms are used, definitions are provided. In this document and in the Company's consolidated financial statements, unless otherwise noted, all financial data is prepared in accordance with IFRS.

EBITDA is a non-GAAP metric used by many investors to compare companies on the basis of ability to generate cash from operations. The Company uses Adjusted EBITDA to assess its operating performance without the effects of (as applicable): current and deferred tax expense, finance costs, interest income, other gains and losses, impairment loss, depreciation and amortization of plant assets, share-based compensation and other non-recurring items. The Company adjusts for these factors as they may be non-cash, unusual in nature and are not factors used by management for evaluating the performance of the Company. The Company believes the presentation of this measure will enhance an investor's understanding of its operating performance. Adjusted EBITDA is not intended to be representative of cash provided by operating activities or results of operations determined in accordance with GAAP.
